Terms of Service

1. Agreement

By creating an account on KnitTrace (“Platform”), you (“User”, “you”) agree to these Terms of Service (“Terms”). KnitTrace is operated by Time In Software, registered in India (“Company”, “we”, “us”). If you are accepting on behalf of a business entity, you represent that you have authority to bind that entity.

2. Eligibility

• You must be at least 18 years of age.
• You must be acting on behalf of a registered business entity (KnitTrace is a B2B platform).
• One company account per GST/Tax ID. Multiple production modes under the same GST may be combined into one account.
• Different GST numbers require separate company registrations.

3. Accounts & Access

• Owner accounts have full access including billing, team management, and company settings.
• Employee accounts have operational access (production logging, chat, orders) but cannot manage billing or company settings.
• You are responsible for maintaining the confidentiality of your login credentials.
• We enforce single active session per user. Logging in on a new device will terminate existing sessions.
• Two-Factor Authentication (TOTP) is mandatory for Admin roles and optional for Exporter/Vertically Integrated roles.

4. Subscription Plans & Pricing

4.1 Plans

Add-ons: Production Mode accounts may add Buy & Sell marketplace access for ₹1,000/mo additional.

4.2 Billing Periods

• Monthly: Billed monthly, no long-term commitment. Cancel anytime before the next billing cycle.
• Yearly: 20% discount (billed monthly at the discounted rate). Requires a 12-month commitment. See Section 5 for cancellation terms.

4.3 Free Trial

• 14-day free trial on signup — no payment method required.
• After 14 days, you will be prompted to select a paid plan to continue using the Platform.
• If you do not subscribe, your account will be suspended until a plan is selected.

5. Cancellation, Refunds & Plan Changes

5.1 Monthly Plans

• You may cancel or change your plan at any time.
• Cancellation takes effect at the end of the current billing cycle.
• No refunds for partially used billing periods.

5.2 Yearly Plans

• Yearly plans are a 12-month non-cancellable commitment.
• You cannot cancel, downgrade, or switch plans during the commitment period.
• If you stop paying or attempt to cancel a yearly plan before the 12-month term ends, you remain liable for the full remaining balance of the annual commitment. This amount will be charged to your payment method on file.
• Plan changes (upgrade or downgrade) are only available after the commitment period ends.
• Yearly pricing is locked at the rate at the time of subscription for the duration of the commitment.

5.3 Refund Policy

• No refunds are issued for any subscription payments, whether monthly or yearly, except as set out in our Refund & Cancellation Policy (e.g. duplicate or erroneous charges).
• If a payment fails, your account enters “halted” status and access is suspended until payment is resolved.

5.4 Subscription Expiry

• If your subscription is halted due to payment failure, you will be redirected to update your payment method.
• Data is retained for 30 days after subscription expiry. After 30 days without payment resolution, we reserve the right to delete your account data with prior email notice.

6. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable law.
• Share login credentials or allow unauthorized access to your account.
• Upload malicious files, malware, or content that could harm the Platform or other users.
• Scrape, crawl, or programmatically extract data from the Platform without written permission.
• Interfere with the Platform's infrastructure, security, or performance.
• Post false, misleading, or fraudulent information in marketplace listings, RFQs, or company profiles.
• Use the Platform to spam, harass, or send unsolicited communications to other users.
• Attempt to access another company's data, bypass Row Level Security, or exploit any vulnerability.

We reserve the right to suspend or terminate accounts that violate these terms without notice.

7. Marketplace & RFQ Rules

• All marketplace listings must accurately represent the product being offered.
• Sellers are responsible for the accuracy of listed quantities, specifications, and pricing.
• KnitTrace is a platform connecting buyers and sellers. We are not a party to any transaction between users. All disputes regarding product quality, delivery, or payment are between the buyer and seller.
• RFQs posted on the Opportunity Board are visible to suppliers with matching capabilities. Suppliers cannot see competing suppliers' quotes.
• The “Mark as Sold” action hides the listing and permanently deletes associated media files.

8. Traceability & Disputes

• The traceability system records chain of custody across production stages.
• If a quantity mismatch is detected (e.g., sender dispatches 100kg, receiver logs 90kg), the system flags a “Mismatch” and blocks the process until the sender or exporter accepts the shortage.
• Dispute resolution is between the parties involved. KnitTrace provides the data trail but does not arbitrate commercial disputes.
• Textile Passports generated from traceability data are public documents showing aggregated journey data. Company names are anonymised if an account is deleted.

9. Intellectual Property

• Your content: You retain ownership of all data, images, and content you upload. By uploading, you grant us a licence to store, display, and process it as necessary to provide the service.
• Our platform: The Platform, its code, design, and branding are owned by Time In Software. You may not copy, modify, or distribute any part of the Platform.
• Textile Passports: Passports are generated by the Platform from your data. You may share and distribute Passports freely.

10. Data & Privacy

Your use of the Platform is also governed by our Privacy Policy and Data Compliance Policy. By using the Platform, you consent to the collection and processing of data as described in those documents.

11. Service Availability

• We aim for high availability but do not guarantee uninterrupted access.
• Scheduled maintenance will be communicated via email or in-app notice in advance.
• We are not liable for downtime caused by third-party providers (Supabase, Vercel, Razorpay, Cloudflare), force majeure events, or circumstances beyond our reasonable control.

12. Limitation of Liability

• The Platform is provided “as is” without warranties of any kind, express or implied, including fitness for a particular purpose or merchantability.
• We are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Platform.
• Our total liability for any claim shall not exceed the amount you paid to us in the 12 months preceding the claim.
• We are not responsible for losses arising from inaccurate data entered by users, failed transactions between marketplace parties, or decisions made based on Platform analytics.

13. Indemnification

You agree to indemnify and hold harmless Time In Software, its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

14. Account Termination

• By you: You may delete your account via Settings > Privacy > Delete Account. A 30-day cooling-off period applies. Yearly plan obligations (Section 5.2) still apply.
• By us: We may suspend or terminate your account for violation of these Terms, fraudulent activity, non-payment, or any conduct we deem harmful to the Platform or other users. We will provide email notice except in cases requiring immediate action.

15. Governing Law & Disputes

• These Terms are governed by the laws of India.
• Any disputes shall be subject to the exclusive jurisdiction of the courts in Coimbatore, Tamil Nadu, India.
• Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

16. Changes to These Terms

• We may update these Terms from time to time.
• Material changes are communicated via email 30 days before taking effect.
• Continued use of the Platform after the effective date constitutes acceptance.
• If you do not agree with updated Terms, you must stop using the Platform and delete your account.

17. Trademark Notice & Third-Party Certifications

17.1 Trademark Acknowledgment

All third-party trademarks, service marks, trade names, and logos referenced on this Platform are the property of their respective owners. Time In Software (“KnitTrace”) is not affiliated with, endorsed by, or sponsored by any of the following organizations:

17.2 Textile Certification Standards

The following certification names may appear on this Platform as user-selected labels. KnitTrace does not confer, grant, or verify any certification. Users may upload their own transaction certificates and self-report their certification status.

REACH (Registration, Evaluation, Authorisation and Restriction of Chemicals) is a regulation of the European Chemicals Agency (ECHA), Helsinki, Finland. It is a regulatory framework, not a trademark.

17.3 User Responsibility for Certification Claims

All certification claims, transaction certificates, and compliance data displayed on this Platform are self-reported by users. Time In Software:

• Does not independently verify, audit, or validate any certification claims made by users.
• Does not confer, grant, or issue any textile certification.
• Does not guarantee the accuracy, validity, or current status of any certification displayed on user profiles or textile passports.
• Provides tools for users to upload their own transaction certificates as supporting documentation. The authenticity and validity of uploaded certificates remain the sole responsibility of the uploading user.

17.4 Machine Manufacturer Brands

The Platform allows users to record machinery specifications including manufacturer brand names (e.g., Mayer & Cie, Terrot, Stoll, Shima Seiki, Karl Mayer, and others). These brand names are trademarks of their respective manufacturers. KnitTrace references them solely to enable accurate equipment cataloguing by users and is not affiliated with, endorsed by, or sponsored by any machine manufacturer.

17.5 Disclaimer

Time In Software tracks data provided by users and does not confer certification. We are not affiliated with the organizations listed above. Use of their names on this Platform is solely for the purpose of allowing users to accurately describe their own certifications, equipment, and capabilities.
